aren't connected to the Internet, and OE isn't set to dial
automatically
(Tools, Accounts, Mail, Properties, Connections) then you will
automatically get switched to Work Offline in both OE and IE and

be able to work online again until you establish a connection.

The same thing can happen if you have IE open to a page that does
some
automatic refreshing and you don't have an open connection and IE
isn't
set to automatically dial (Tools, Internet Options, Connection)

Sounds like something is interfering with your Internet connection
and
so IE/OE think that you've lost the Internet connection.

What type of connection do you have? Dial-up, cable, DSL, Wi-Fi?

Are you running a firewall? If so, whose?

And you should upgrade to XP SP2.

thereby
kicks-in that darned grayed-out typeface! Talk about ANNOYING!
